These Terms of Use ("Terms") govern your access to and use of www.cadresgp.com (the "Website") and the Cadre One platform (the "Platform"), owned and operated by Cadre Strategic Growth Partners, LLC ("Cadre", "We", "Our", "Us"). By accessing or using the Website or Platform, you agree to be bound by these Terms. If you do not agree, do not use Our services.

1. Scope of Terms

These Terms apply to:

• The Website (www.cadresgp.com) — Our public marketing site, accessible to all visitors.
• The Cadre One Platform — Our authenticated, cloud-based strategy and execution platform. Access to the Platform is governed by these Terms in addition to any separate client services agreement between Cadre and your organization. In the event of a conflict, the client services agreement prevails.

2. Disclaimers

The Website and Platform (including all content) are provided to you "as is" and "as available." Any use is at your own risk. To the maximum extent permitted by applicable law, Cadre disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Information contained on the Website has been obtained from sources believed to be reliable. Cadre has not independently verified all such information and makes no guarantee, warranty, or representation about its accuracy or completeness. Cadre expressly disclaims any responsibility for actions taken as a result of information displayed on the Website.

Cadre makes no representations or guarantees that the Website or Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. Without prior notice, Cadre may modify, suspend, or discontinue any aspect of the Website or Platform. Cadre will not be liable to you or any third party for any such modification, suspension, or discontinuation.

3. Cadre One Platform Terms

A. Access & Accounts

Access to the Cadre One Platform requires an authorized account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify Cadre immediately of any unauthorized use of your account.

B. Acceptable Use

When using the Platform, you agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to the Platform, other accounts, or any related systems or networks
• Interfere with or disrupt the integrity or performance of the Platform
• Reverse engineer, decompile, or disassemble any aspect of the Platform
• Share login credentials with unauthorized individuals or allow access beyond the scope of your organization's agreement

C. Client Data

Your organization retains ownership of all business data entered into the Platform. Cadre's rights to access and use that data are limited to providing the Platform services and as described in Our Privacy Policy. Data handling, retention, and deletion are further governed by your client services agreement.

D. Availability & Support

Cadre will use commercially reasonable efforts to maintain Platform availability. Planned maintenance windows will be communicated in advance when possible. The Platform is hosted on Amazon Web Services (AWS) infrastructure and benefits from AWS's enterprise-grade reliability and security controls.

4. Limitation of Liability

In no event will Cadre be liable to you for indirect, general, special, incidental, consequential, exemplary, or other damages (including, without limitation, damages for loss of profits, business interruption, corruption of files, loss of business information, or any other pecuniary loss) even if Cadre has been advised of the possibility of such damages. No oral or written information or advice given by Cadre will create a warranty, and neither you nor any third party may rely on any such information or advice.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you.

5. Indemnification

You agree to indemnify and hold Cadre, its directors, officers, employees, affiliates, agents, contractors, and licensors harmless with respect to any lawsuits or claims arising out of:

• Your breach of these Terms, including any infringement of copyright or intellectual property rights of any third party
• Your use or misuse of the Website or Platform
• Any data or content you submit to the Platform that violates applicable laws or third-party rights

6. License to Use

A. Website

Cadre grants you a limited, non-exclusive, non-transferable license to access and use the Website in accordance with these Terms. You agree that you will not:

• Reproduce, transmit, display, or distribute content from the Website without Cadre's express written permission
• Copy, store, edit, or prepare derivative works from any content on the Website
• Use the Website in any way that violates these Terms

B. Platform

Access to the Cadre One Platform is granted under the terms of your organization's client services agreement. The Platform license is non-exclusive, non-transferable, and limited to the scope of that agreement. You may not sublicense, assign, or transfer your Platform access. Any attempt to do so is void.

The Website and Platform are copyrighted © 2026 Cadre Strategic Growth Partners, LLC. All rights reserved.

All logos, trademarks, trade names, and materials comprising the Website and Platform are owned by Cadre and/or third parties except where otherwise noted. The Cadre name, Cadre One name, design logos, and certain other trademarks, service marks, graphics, and logos (collectively, the "Cadre Trademarks") are the property of Cadre. You are not granted any right or license with respect to the Cadre Trademarks or the trademarks of any third party.

Client data entered into the Platform remains the intellectual property of the client organization, as described in Section 3C above.

8. Links to Third-Party Websites

The Website and Platform may contain links to third-party websites. These links are provided as a convenience and do not imply Cadre's sponsorship or approval. Cadre has no control over or responsibility for third-party websites, their content, security, or privacy policies. You access any third-party website at your own risk.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Dallas County, Texas.

10. Changes to These Terms

Cadre reserves the right to modify these Terms at any time. If We make material changes, We will update the "Last Updated" date at the top of this page. Your continued use of the Website or Platform after changes are posted constitutes your acceptance of the updated Terms.
